1. INTRODUCTION

Welcome to Urban India Foods Company's website and online ordering platform.

These Terms & Conditions govern access to and use of the website, online ordering system and associated services operated by Urban India Foods Company ("UIFC", "Company", "We", "Us" or "Our").

UIFC primarily operates as a centralised procurement and supply-chain provider for its authorised franchisee network and other approved business customers.

By registering, accessing or placing an order through our platform, you agree to comply with these Terms & Conditions.

If you do not agree with these terms, you should discontinue using the platform.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

The platform is primarily intended for authorised franchisees, business customers and their approved representatives.

Users must:

  • Provide accurate registration information.

  • Provide valid business and contact details.

  • Maintain confidentiality of their login credentials.

  • Ensure that only authorised persons access their accounts.

  • Immediately notify UIFC of any unauthorised account access.

UIFC reserves the right to verify user information and restrict or suspend accounts where necessary.

3. NATURE OF SERVICES

UIFC provides an online platform for business-related ordering and procurement activities, including:

  • Raw-material ordering.

  • Food and beverage ingredients.

  • Packaging materials.

  • Consumables and operational supplies.

  • Product catalogue and pricing information.

  • Order tracking and transaction records.

  • Other approved business supplies.

The availability of products and services may vary depending on operational capacity, location, stock availability and business requirements.

4. AUTHORISED PROCUREMENT

For franchisees operating under the Chatpata brand, UIFC may prescribe centralised procurement requirements.

Authorised franchisees must procure approved raw materials, packaging materials and other designated products through UIFC or its authorised supply channels.

Franchisees shall not independently substitute, modify or procure restricted products from unauthorised external suppliers without prior written approval from UIFC.

Applicable franchise agreements, operational manuals and company circulars shall continue to govern such procurement obligations.

5. PRODUCT INFORMATION AND PRICING

UIFC makes reasonable efforts to ensure that product descriptions, specifications, images and prices displayed on the platform are accurate.

However:

  • Product images are for identification purposes and may differ slightly from actual products.

  • Prices may change from time to time.

  • Applicable GST and other statutory charges may be added.

  • Product availability is subject to stock and supply conditions.

  • Applicable minimum order requirements will be communicated through the platform or company notifications.

The price applicable to an order shall ordinarily be the price confirmed at the time of order acceptance, subject to correction of genuine technical or clerical errors and applicable law.

6. ORDER PLACEMENT AND CONFIRMATION

  • Users must select products and quantities carefully.

  • Orders must be submitted through the authorised ordering platform.

  • Submission of an order request does not automatically constitute acceptance by UIFC.

  • Orders shall be processed subject to stock availability, payment status and operational feasibility.

  • UIFC may contact the user for clarification or verification.

  • An order confirmation or acknowledgement may be communicated electronically.

UIFC reserves the right to reject or cancel an order where necessary due to stock unavailability, pricing errors, payment issues, suspected fraud or operational constraints.

Any amount received for an order cancelled by UIFC shall be refunded or otherwise adjusted as required by applicable law and the applicable Order and Refund Policy.

7. PAYMENT TERMS

All payments must be made through payment methods authorised by UIFC.

Unless a specific credit arrangement has been approved in writing:

  • Payments must be completed as per the payment instructions displayed on the platform.

  • Orders may be withheld from processing or dispatch until payment is received and verified.

  • Users are responsible for applicable bank charges or transaction fees disclosed before payment.

  • Payment confirmations and transaction references should be retained.

Where a credit facility is expressly approved, the applicable credit limits, payment deadlines and outstanding balance conditions shall apply.

UIFC reserves the right to suspend further supplies in case of overdue payments, subject to contractual obligations and applicable law.

8. DISPATCH AND DELIVERY

Orders shall be dispatched according to the applicable delivery schedule and operational arrangements.

Delivery timelines may vary depending on order volume, product availability, transportation arrangements, location, weather conditions, government restrictions and other circumstances beyond reasonable control.

Users must ensure that an authorised representative is available to receive the delivery.

The receiving representative should verify the products and quantities at the time of delivery and promptly report any shortage, damage or discrepancy through the prescribed company communication channel.

9. PRODUCT QUALITY, STORAGE AND HANDLING

UIFC shall take reasonable care to supply products in accordance with applicable product specifications and food safety requirements.

Upon receipt, the franchisee or business customer shall be responsible for:

  • Proper storage.

  • Maintaining prescribed temperatures.

  • Following FIFO inventory practices.

  • Maintaining hygiene.

  • Monitoring expiry dates.

  • Preventing contamination.

  • Following product-specific handling instructions.

UIFC shall not be responsible for deterioration resulting from improper storage, mishandling or negligence after delivery and acceptance, except to the extent caused by UIFC's own breach or otherwise provided by law.

10. CANCELLATION, RETURNS AND REPLACEMENTS

Orders involving food ingredients, perishable materials and consumables require special handling.

Cancellation, returns, replacement and refund requests shall be governed by the applicable Order, Cancellation and Refund Policy.

Products will not ordinarily be accepted for return merely because of a change of preference or an incorrect order placed by the user.

This restriction does not affect statutory rights or claims relating to defective, damaged, incorrect or otherwise non-conforming products.

11. INTELLECTUAL PROPERTY

All website content, logos, trademarks, graphics, product descriptions, designs, photographs, software and other intellectual property displayed on the platform belong to UIFC or their respective authorised owners.

Users shall not copy or reproduce website content without permission, use UIFC trademarks without authorisation, distribute proprietary information, reverse engineer platform software or misrepresent their association with UIFC.

Unauthorised use may result in appropriate legal action.

12. PROHIBITED ACTIVITIES

Users shall not:

  • Provide false registration information.

  • Attempt unauthorised access to the platform.

  • Misuse another user's account.

  • Upload malicious software or harmful content.

  • Interfere with platform operations.

  • Engage in fraudulent transactions.

  • Use the platform for unlawful activities.

  • Circumvent authorised procurement arrangements.

13. ACCOUNT SUSPENSION AND TERMINATION

UIFC may restrict, suspend or terminate access to the platform in circumstances including breach of these Terms & Conditions, fraudulent or suspicious activity, unauthorised access, repeated payment defaults, misuse of the ordering system or termination or suspension of the underlying franchise or business relationship.

Such action shall be subject to applicable contractual obligations and law.

14. LIMITATION OF LIABILITY

UIFC shall exercise reasonable care in providing its services.

To the extent permitted by applicable law, UIFC shall not be liable for indirect or consequential losses arising from temporary website downtime, internet or network interruptions, third-party service failures, delays caused by circumstances beyond reasonable control, incorrect information supplied by users or improper handling or storage of products after delivery.

Nothing in these Terms & Conditions shall exclude liability that cannot legally be excluded, including liability arising from fraud, wilful misconduct or other non-excludable statutory obligations.

15. FORCE MAJEURE

UIFC shall not be held responsible for failure or delay in performing obligations where such failure or delay results from circumstances beyond reasonable control, including natural disasters, floods, severe weather, fire, accidents, government restrictions, transportation disruptions, strikes, labour disturbances, epidemics, public emergencies or major infrastructure or utility failures.

UIFC shall make reasonable efforts to resume normal operations when circumstances permit.

16. AMENDMENTS

UIFC reserves the right to amend these Terms & Conditions from time to time.

Updated terms shall be published on the website.

Users are responsible for reviewing applicable changes periodically.

17. SEVERABILITY

If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions shall continue to remain effective to the extent permitted by law.

18. GOVERNING LAW AND JURISDICTION

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising from the use of the website, online ordering platform or services provided by UIFC shall be subject to the jurisdiction of courts of competent jurisdiction at Surat, Gujarat, India, provided that such courts otherwise have jurisdiction under applicable law.
